1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.

2. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Med Food Ark become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Med Food Ark in its entirety and does not include any costs relating to the legislation of the country in which the client is located.

3. All prices are quoted and payable in [USD/EUR/GBP - pick your poison]. Prices are fixed at the time of order confirmation and will not be adjusted for currency fluctuations, regardless of changes in exchange rates between confirmation and delivery.

4. Delivery terms are governed by the applicable Incoterms (current edition) as specified in each contract or invoice. Unless otherwise agreed in writing, all sales are FOB [your port]. Risk of loss or damage passes to buyer in accordance with the agreed Incoterms. Med Food Ark's responsibility ends at the point of risk transfer as defined by the applicable Incoterm.

5. Med Food Ark shall not be liable for any delay or failure to perform due to force majeure events including but not limited to: acts of God, natural disasters, war, terrorism, government actions, port strikes, customs delays, shipping disruptions, pandemic restrictions, or any other circumstances beyond Med Food Ark's reasonable control. In such cases, performance obligations are suspended until the force majeure event ceases.

6. Med Food Ark undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Med Food Ark cannot under any circumstances be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

7. In order for it to be admissible, Med Food Ark must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 30 days of the delivery of the goods or the provision of the services.

8. All our contractual relations will be governed exclusively by United Kingdom law, subject to mandatory local laws that cannot be contractually waived.
